By accessing or using the services provided by Fusiv Studio ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.
2. Services Description
Fusiv Studio provides web development, hosting, business strategy consulting, and AI implementation services to businesses. Our services include but are not limited to:
- Custom website design and development
- Website hosting and maintenance
- Business strategy consulting
- AI strategy and implementation
- Digital optimization and analytics
3. Service Packages and Pricing
We offer tiered service packages with recurring monthly fees. Pricing and package details are outlined during the consultation process and in service agreements. All fees are subject to change with 30 days' notice.
Payment terms will be specified in your service agreement. Late payments may result in suspension of services.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Respond to requests for information in a timely manner
- Provide necessary content, assets, and access credentials
- Make timely payments as agreed
- Comply with all applicable laws and regulations
- Not use our services for any illegal or unauthorized purpose
5. Intellectual Property
Our Intellectual Property
Unless otherwise stated, all materials provided by Fusiv Studio, including code, designs, frameworks, and methodologies, remain our intellectual property. We grant you a non-exclusive, non-transferable license to use deliverables for their intended purpose.
Your Intellectual Property
You retain ownership of all content, trademarks, and materials you provide to us. By providing materials, you grant us a license to use them solely for the purpose of delivering our services to you.
Final Deliverables
Upon full payment, you will receive ownership rights to the final website and custom code developed specifically for your project, excluding any proprietary frameworks, tools, or third-party components.
6. Service Level and Uptime
We strive to maintain high availability for hosted websites. However, we do not guarantee 100% uptime and are not liable for downtime caused by factors beyond our control, including but not limited to third-party hosting providers, internet service disruptions, or force majeure events.
7. Modifications and Updates
Ongoing maintenance and content updates are included in certain service packages as specified in your agreement. Additional work beyond the scope of your package may incur additional fees.
8. Term and Termination
Service agreements are typically on a month-to-month basis unless otherwise specified. Either party may terminate services with 30 days' written notice.
We reserve the right to suspend or terminate services immediately if:
- Payment obligations are not met
- You violate these terms
- Your use of services poses a security or legal risk
Upon termination, you are responsible for payment of all services rendered up to the termination date.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This obligation survives termination of services.
10. Warranties and Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. However:
- Services are provided "as is" without warranties of any kind
- We do not guarantee specific business results or outcomes
- We are not responsible for third-party tools, services, or integrations
- We do not warrant that services will be uninterrupted or error-free
11. Limitation of Liability
To the maximum extent permitted by law, Fusiv Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of your data
- Any interruption or cessation of services
- Any bugs, viruses, or similar issues transmitted through our services
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Fusiv Studio from any claims, damages, losses, liabilities, and expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Fusiv Studio operates, without regard to its conflict of law provisions.
14. Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or small claims court.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
